Terms of Service

These terms govern engagements between Barael LLC (“Barael”) and clients who commission work through barael.com. By signing a Statement of Work or paying a deposit, you agree to these terms.

Barael builds fixed-scope, fixed-price websites and agentic AI tools. Every engagement is defined by a Statement of Work (SOW) agreed in writing before work begins. Barael does not take open-ended retainers, hourly work, or staff augmentation.
An engagement begins when both parties have agreed to a SOW in writing and Barael has received a 50% deposit. The deposit locks the calendar and confirms scope. Work does not begin before receipt of the deposit.

Payment is structured as follows:

  • 50% deposit due before work begins — non-refundable once work has started
  • 50% balance due on completion, before final delivery of credentials, code, or access
  • Invoices are due within 7 days of issuance
  • Late payments accrue interest at 1.5% per month

All prices are in USD. Barael accepts wire transfer and major credit cards via Stripe.

The SOW defines what is in scope. Requests outside the SOW are treated as new work and quoted separately. Barael will flag scope drift before acting on it — you will never receive an unexpected invoice.
Barael commits to the timeline specified in the SOW. Timelines assume timely client feedback — defined as responses within two business days of a review request. Delays caused by late feedback extend the timeline accordingly, with no penalty to Barael.

Upon receipt of full payment, the client owns all custom code, designs, and content produced specifically for the engagement.

Barael retains ownership of any general-purpose tools, frameworks, or components developed independently and reused across engagements. These are licensed to the client for use within the delivered product.

Barael may reference the engagement and display work product in its portfolio and marketing materials unless a written NDA is executed prior to the engagement start date.

Each engagement includes a post-launch bug-fix window as specified in the SOW — typically two weeks for Agent in 2 Weeks engagements. During this window, Barael will fix defects in the delivered scope at no additional charge. This support covers bugs, not new features or changes in requirements. After the support window closes, additional work is quoted as a new engagement.
Both parties agree to keep confidential any non-public information shared during the engagement. This does not apply to information that is publicly known, independently developed, or required to be disclosed by law. If the client requires a formal NDA, it must be signed before the engagement begins.
Barael's total liability for any claim arising from an engagement is limited to the fees paid by the client for that engagement. Barael is not liable for indirect, incidental, or consequential damages, including lost revenue, lost data, or business interruption. This limitation applies to the fullest extent permitted by California law.
Barael delivers working software as defined in the SOW. Beyond the post-launch support window, the work is delivered as-is. Barael makes no ongoing warranty regarding uptime, compatibility with future third-party changes, or fitness for any purpose beyond what the SOW describes.
Either party may terminate an engagement with written notice. If the client terminates after work has begun, the deposit is non-refundable. If Barael terminates, any deposit attributable to unstarted work will be refunded pro-rata. Termination does not affect payment obligations for work already delivered.
These terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of Santa Clara County, California. Both parties consent to that jurisdiction.
Barael may update these terms from time to time. The effective date at the top of this page reflects the most recent revision. Updated terms apply to new engagements entered after the revision date.
